PARSIPPANY, N.J., (March 13, 2012) — Wyndham Worldwide Corporation has announced the pricing of the public offering of an additional $150 million aggregate principal amount of its 4.250% senior unsecured notes due March 1, 2022 (the “notes”) which will constitute a further issuance of and be part of the same series as the $500 million aggregate principal amount of its 4.250% senior unsecured notes due 2022 that it issued on March 7, 2012. The senior unsecured notes offering is expected to close on March 15, 2012. Wyndham Worldwide intends to use the aggregate net proceeds from this offering together with the net proceeds from its offering of $300 million aggregate principal amount of its 2.950% senior unsecured notes due 2017 and $500 million aggregate principal amount of its 4.250% senior unsecured notes due 2022 which closed on March 7, 2012, to repurchase outstanding notes in a tender offer the company announced on February 27, 2012, to repay borrowings under its revolving credit facility and for general corporate purposes.
The notes will bear interest at the rate of 4.250% per year, accruing from and including March 7, 2012. Interest will be payable semi-annually on March 1 and September 1 of each year, commencing September 1, 2012. The notes will mature on March 1, 2022. The notes were offered to the public at a price of 99.063% of the principal amount plus accrued interest from and including March 7, 2012 to the date of issuance of the notes.
